The Company s portfolio includes a wide range of products and services, such as Polaris Intelligent Cloud, CHEERS Telepathy, CHEERS Open Platform, CHEERS Video, CHEERS e-Mall, CheerReal, CheerCar, CheerChat, CHEERS Fresh Group-Buying E-commerce Platform, Digital Innovation Research Institute, CHEERS Livestreaming, variety show series, IP short video matrix, and more. These offerings provide diverse application scenarios that seamlessly blend “online/offline” and “virtual/reality” elements.
The Company primarily has two business segments: namely Cheers App Internet Business and Traditional Media Businesses.
HISTORY
2018:
The Company is incorporated as an exempted company under the laws of the Cayman Islands on February 5, 2018 under the name TKK Symphony Acquisition Corporation. In connection with the Share Exchange Agreement, The Company s changed its name from “TKK Symphony Acquisition Corporation” to “Glory Star New Media Group Holdings Ltd.” As a result of the Business Combination, all of its business operations are conducted through our subsidiaries and its VIEs.
2019:
The Company consummated the transaction contemplated by the Share Exchange Agreement dated as of September 6, 2019, as amended, by and among the Company, Glory Star New Media Group Limited, a Cayman Islands exempted company Glory Star New Media (Beijing) Technology Co., Ltd., a wholly foreign-owned enterprise limited liability company incorporated in the People's Republic of China (“PRC”) and indirectly wholly-owned by Glory Star, Xing Cui Can, Horgos, each of Glory Star's shareholders, TKK Symphony Sponsor 1, the Company's sponsor, in the capacity as the representative from and after the closing of the Business Combination for the Company's shareholders other than the Sellers, and Bing Zhang, in the capacity as the representative for the Sellers thereunder, pursuant to which Glory Star New Media Group Holdings Limited acquired 100 of the equity interests of Glory Star from the Sellers.
The Company s common stock has been approved for listing on Nasdaq under the symbol “GSMG.”
2022:
The Company s entered into an agreement and plan of merger with Cheers Inc., an exempted company incorporated with limited liability under the laws of the Cayman Islands and GSMG Ltd., an exempted company incorporated with limited liability under the laws of the Cayman Islands, pursuant to which Merger Sub will merge with and into GS Holdings and cease to exist, with the Company continuing as the surviving company and becoming a wholly-owned subsidiary of Parent.
2023:
The Company changed its legal name from Glory Star New Media Group Holdings Limited. to Cheer Holding, Inc.
In connection with the name change, the Company will also change its trading symbol for tis ordinary shares from “GSMG” to “CHR”. The Company's warrants will continue to trade under the ticker symbol “GSMGW”. The Company's ordinary shares will commence trading on the Nasdaq Capital Market under the new name and trading symbol at the market open on November 9, 2023.
